Ribbit API Terms of Use

Additional to the Ribbit End User License Agreement

IMPORTANT - PLEASE READ CAREFULLY:

These Ribbit API Terms of Use (the "API Terms") are in addition to and supplement the Ribbit Developer Platform - End User License Agreement (the "EULA"), as published on the Ribbit Developer Platform Website. The terms and conditions of the EULA shall fully apply to these API Terms unless explicitly expected in these API Terms.

If you want to use the Ribbit API for any purpose, you must first register with Ribbit by completing and providing accurate information on the Ribbit Developer registration form on the Ribbit Developer Platform Website (the "Registration"). By submitting your Registration to Ribbit, you explicitly agree to be bound by these API Terms and the EULA as well as any revised or renewed versions thereof, as will be published on the Ribbit Website or as may be otherwise notified to you by Ribbit. Ribbit reserves the right, at its sole discretion, to refuse or reject your Registration.

You and Ribbit agree as follows:

  1. Subject to your compliance with the API Terms and EULA, Ribbit grants to you a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable right to use the Ribbit API for developing software or code to interface and connect a software application with Ribbit Services (the "Software Application").
  2. Your Application shall in no way and to no extent, whether directly or indirectly, adversely affect, impede or otherwise hinder or disrupt the functionality or performance of Ribbit Software or Services, including without limitation, that it:
    1. shall not adversely impact the stability of Ribbit;
    2. shall not adversely impact the call quality of Ribbit Services;
    3. shall not adversely impact the behavior of other applications using the Ribbit Components;
    4. shall not attempt to install spyware or malware on the client computer;
    5. shall not attempt to redistribute information about the use of Ribbit or Ribbit Services without express permission of the user;
    6. shall correctly identify itself to Ribbit when requested; and
    7. shall not attempt to send messages or place calls to or communicate with other users of Ribbit Services unless specifically directed to do so by the user.
    Save as expressly approved in writing by Ribbit, you will not distribute the Software Application online through website(s) that is/are in any way similar to the Ribbit Website or use the Ribbit's trademarks or words describing Ribbit's products or services as the registered URL for website(s).
  3. You will not knowingly harm, misuse or bring into disrepute the Ribbit Software, Ribbit API or Ribbit brand or name and will maintain the value and reputation thereof to the best of your abilities.
  4. You will not use the Ribbit API in any Software Application that is actually or potentially fraudulent or inappropriate or contrary to Ribbit policy.
  5. You may not collect any user's personal information or data in a misleading, unauthorized or unfair way. Without limiting the generality of the foregoing, you will never collect (and retain) the Ribbit password used by the member to log-in to his or her Ribbit account (the "Ribbit Password"). If Ribbit members need a separate password to use your Application, you will either (i) automatically generate a unique password and communicate it to the user or (ii) actively encourage the member to use a password different from the Ribbit Password.
  6. You hereby specifically acknowledge that your rights to use Ribbit API are strictly subject to your full compliance with the following instructions related to promotion, marketing and design of your Software Application and any breach of any provision of the API Terms or the EULA shall give rise to automatic termination by Ribbit.
    1. You may only use the following references to Ribbit, Ribbit API and Ribbit Software in connection with your Software Application:

      "works with Ribbit"
      "for Ribbit"
      "powered by Ribbit"
    2. You acknowledge that the Software Application must prominently display the following statement in the help text or about text, in the Acknowledgements in the documentation associated with your Software Application and the packaging and other promotional material:

      "This product uses the Ribbit API but is not endorsed, certified or otherwise approved in any way by Ribbit"
    3. The Software Application must include proper attribution.
  7. Nothing in the API Terms gives you any right to use Ribbit Promotional Materials, including without limitation the Ribbit trademarks and logos, or make references to Ribbit or Ribbit's products or services other than those explicitly stated in paragraph 8 above. Unauthorized references or use of Ribbit Promotional Materials shall be considered as material breach of these API Terms and shall result to immediate termination thereof, as well as the EULA and any other agreements you may have entered into with Ribbit. Such termination shall be without limitation to Ribbit's right to claim damages, seek for injunctive or other equitable relief and obtain other remedies from you.
  8. At all times, you must constantly monitor the Ribbit Website to ensure (i) you are only using the latest stable version of the Ribbit API; and (ii) you are aware of any changes in the API Terms, the EULA or any other applicable legal documents. In the event you cannot agree on any changes in any applicable legal document, you will immediately cease any and all use of the Ribbit API and, where applicable, any and all use of the Ribbit Software.
  9. You represent and warrant that you are authorized to agree to and meet with the terms and conditions of the API Terms and the EULA. You acknowledge and agree that the EULA will apply to the API Terms, except for the exceptions that are explicitly stated in the API Terms.
  10. You acknowledge and agree that your use of the Ribbit API will be at your own risk and account. You agree, on demand, to indemnify, defend and hold Ribbit, its Affiliates and staff harmless from and against any and all liability and costs, including reasonable attorneys' fees incurred by such person, in connection with or arising out of (a) your use of the Ribbit API or (b) any breach or violation of the terms and conditions of these API Terms and/or the EULA.
  11. Ribbit reserves the right to modify these API Terms at any time, on a general or individual basis, by publishing the revised API Terms on the Ribbit Website or by otherwise notifying you of the revised API Terms. Your continued use of the Ribbit API shall constitute your acceptance to be bound by the terms and conditions of the revised API Terms.
  12. These API Terms will become effective upon an approved Registration and will remain effective until terminated by either Ribbit or you as set out herein and/or in the EULA. Ribbit will not be liable for any damage caused by the modification or termination of these API Terms and/or the EULA.

    YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THE RIBBIT API TERMS AND THE RIBBIT END USER LICENCE AGREEMENT AND UNDERSTAND AND ACCEPT THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN. BY SUBMITTING YOUR REGISTRATION, YOU EXPRESSLY CONSENT TO BE BOUND BY THESE TERMS AND CONDITIONS AND GRANT TO RIBBIT THE RIGHTS SET FORTH HEREIN.
